Terms and Conditions
Status: DRAFT — COMMERCIAL FACTS AND LEGAL APPROVAL REQUIRED
These Terms govern purchases of AnyNC software licences from Igor Ðurica, Einzelunternehmer (Nebengewerbe/Kleingewerbe), trading as AnyNC (“AnyNC”), Hölzleweg 61, 78054 Villingen-Schwenningen, Germany. Contact: anync.software@gmail.com.
1. Scope and contract formation
These Terms apply to the sales channel identified at checkout. The product, licence edition, licence period, price, taxes, supported platform, and customer type shown in the order summary form part of the contract. A contract is formed only when AnyNC accepts the order or supplies the licence, as stated in the checkout flow.
AnyNC may be offered to business customers and consumers in countries where AnyNC or an authorised reseller accepts the order and the transaction is legally permitted. The checkout identifies the seller, price, taxes, billing period, and applicable purchase terms before the order is placed.
2. Delivery and licence
AnyNC is delivered electronically. The licence key and download instructions are supplied through the channel stated at checkout. Use of the software is governed by the separate AnyNC License Agreement supplied before installation.
Direct purchases are arranged by email at anync.software@gmail.com. The customer sends the request.c2v licence-request file, and AnyNC generates the licence for the agreed order. The licence scope, price, payment method, delivery conditions, and applicable consumer information are provided before the customer places a binding order. Sending request.c2v alone is not a purchase order or consent to early delivery.
AnyNC may also be supplied by an authorised reseller. Unless the order says otherwise, the reseller is responsible for its own quotation, invoicing, payment processing, taxes, refunds, and local consumer information. The AnyNC software licence and these product-use rules still apply.
3. Prices and payment
Prices, applicable taxes, payment methods, billing periods, and renewal terms must be shown before the order is placed. Purchases made directly from AnyNC or through an authorised reseller follow the corresponding quotation, checkout, invoice, and seller terms.
4. System requirements, functionality, and compatibility
The supported operating systems, hardware requirements, functionality, technical protection measures, compatibility, and interoperability information must be displayed before purchase and retained with the order confirmation.
5. Updates, support, and availability
AnyNC normally targets a quarterly release cycle, with intermediate hotfix releases as needed. This describes the usual development cadence rather than a guaranteed release date or a promise that every issue will receive a hotfix.
Monthly and yearly paid subscriptions include updates and basic support throughout the paid subscription term.
Perpetual licences include two years of updates and basic support, beginning on the date AnyNC sends the generated licence to the customer by email. Later activation does not postpone the start of this included period. After that included period, updates and basic support can be purchased for EUR 79 per licence per year, excluding VAT where applicable. Maintenance does not renew automatically: each additional year requires a manual order. Expiry of maintenance does not end the perpetual right to use versions covered by the licence and its update entitlement.
Basic support covers general software questions, guidance on options and settings, software orientation, bug reports, and feature requests. Reporting a bug or requesting a feature does not guarantee implementation or a particular delivery date. Basic support excludes creating or configuring machine profiles and extended individual assistance.
Additional technical assistance can be ordered separately at EUR 99 per hour, excluding VAT where applicable. Its scope, billing increments, and any agreed cost limit must be agreed before work begins.
[Confirm maintenance reinstatement terms after a gap in coverage, security-update policy, support response expectations, and end-of-support policy. Mandatory statutory update and defect-remedy obligations remain unaffected.]
6. Machine configurations
Machine configurations, machine models, kinematic data, controller settings, limits, and similar files are working aids. They may be incomplete, generic, outdated, or different from the actual machine.
Before production use, the user must check the configuration against the machine manufacturer's documentation and the real machine. This includes axis directions and limits, rotary behavior, machine zero, tooling, fixtures, workholding, offsets, clearance, controller options, and all safety settings. Importing, downloading, or receiving a configuration does not mean that AnyNC has tested or certified it for a particular machine.
AnyNC-supplied configurations may be used with a valid AnyNC licence. They may not be sold, published, or redistributed as a separate product without written permission. A customer remains free to create and use its own configurations and retains its rights in its own original data.
7. No reverse engineering
Except where applicable law or a third-party open-source licence expressly allows it, the user must not reverse engineer, decompile, disassemble, extract, or attempt to reconstruct AnyNC, its licence protection, or proprietary machine configurations. The user must not bypass access controls or use extracted implementation details to create a competing product.
This restriction does not limit mandatory legal rights or rights granted for included open-source components. In particular, it does not restrict replacing or debugging modifications to components covered by the GNU Lesser General Public License (LGPL), as explained in the Third-Party Software notices.
8. Acceptable use
The user must not:
- use AnyNC unlawfully or to infringe another person's rights; - share licence keys or provide access beyond the purchased licence scope; - bypass licence, security, edition, trial, or usage controls; - distribute AnyNC or AnyNC-supplied configurations without permission; - introduce malware, deliberately disrupt the software or its services, or probe systems or accounts without authorisation; - misrepresent AnyNC output as certified, guaranteed, or independently verified; or - use AnyNC in connection with prohibited weapons activities, sanctioned persons, or transactions forbidden by applicable export-control or sanctions law.
Normal analysis of the user's own NC programs, machines, and original configuration data is permitted within the licence scope.
9. Industrial use and safety
Important: AnyNC is an editing, analysis, and simulation aid. It does not guarantee that a simulation, toolpath, collision check, cycle-time estimate, displayed machine movement, or other analysis result is correct or complete.
NC code: AnyNC loads and displays user-supplied NC code as provided ("as is"). The user is responsible for the NC code they create, supply, edit, and use, and for verifying it before execution on a machine.
Simulation and machine movements: AnyNC does not guarantee that simulations or displayed machine movements match the actual machine. Missing, incomplete, or incorrect definitions in machine settings or profiles can cause incorrect simulated movements and simulation results. The user must review, complete, and adapt the settings and profiles to match their actual machine, controller, configuration, and movements, and verify the results before machining. The user is responsible for their machines and all settings and profiles they use, including supplied examples and example machine profiles; examples must not be assumed to be validated or suitable for a particular machine.
Never send an AnyNC result directly to a machine without an independent safety check. A qualified person must verify the NC program, postprocessor output, machine movements and limits, tools, holders, fixtures, workholding, offsets, clearances, stock, controller state, and safe operating conditions. Use the machine manufacturer's procedures, dry run, single block, reduced feed, and other appropriate safeguards. AnyNC does not replace a qualified CNC operator, programmer, manufacturing engineer, risk assessment, or machine safety system.
The user controls the machine and is responsible for deciding whether and how to machine a part. To the maximum extent permitted by law, AnyNC is not liable for loss caused by relying on an unchecked or inaccurate output, including machine or tool damage, personal injury, scrap, downtime, lost production, or business interruption. This does not exclude liability that cannot lawfully be excluded or limited, including applicable liability for intent, gross negligence, or injury to life, body, or health.
10. Statutory rights and warranties
Mandatory statutory rights, including rights concerning defective digital products where applicable, remain unaffected. Any additional commercial warranty applies only when expressly stated in writing.
11. Withdrawal, cancellation, and refunds
Consumer withdrawal rights and the consequences of requesting immediate
delivery are described in WITHDRAWAL_AND_REFUND_POLICY.md. Nothing in these
Terms limits a mandatory refund, remedy, or cancellation right.
12. Liability
Nothing excludes liability that cannot legally be excluded or limited. Any additional limitation of liability requires jurisdiction-specific legal review before publication and must remain consistent with the License Agreement.
13. Data protection
Personal data is handled as described in the AnyNC Privacy Notice.
14. Term, suspension, and termination
Subscriptions are offered on monthly and yearly paid terms. Software use, updates, and basic support are included for the paid subscription term. Perpetual licences have no fixed expiry for use of eligible versions; updates and support follow section 5.
[Confirm subscription renewal behavior, cancellation method and notice period, the effect of non-payment, termination rights, and any suspension process.]
15. Governing law and disputes
These Terms and the AnyNC software licence are governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
For consumers, this choice of law does not remove mandatory protections granted by the law of the country in which the consumer normally lives, and it does not restrict any court jurisdiction that cannot legally be excluded.
For merchants, legal entities under public law, and special funds under public law, the courts with jurisdiction for AnyNC's German business establishment have exclusive jurisdiction where such an agreement is legally permitted.
16. Final provisions
[Legal review required for assignment, severability, amendments, language priority, notices, and the relationship between these Terms, the order, and the License Agreement.]
